These Terms of Service (“Terms”) govern your access to and use of the website, services, and digital platforms operated by Translation Excellence, Inc. (“Translation Excellence,” “we,” “us,” or “our”). By accessing our website, submitting a service request, registering for an account, or engaging Translation Excellence to provide language services, you (“Client” or “you”) agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our website or services. These Terms constitute a legally binding agreement between you and Translation Excellence, Inc.

SERVICES

Translation Excellence, Inc. provides the following professional language services:

 

  • Interpreting Services: On-site, telephonic, and video remote interpreting (VRI) in a wide range of languages for healthcare, legal, government, educational, business, and community settings.

 

  • Translation Services: Written translation of documents, correspondence, forms, and other materials from one language to another.

 

  • American Sign Language (ASL) Interpreting: Qualified ASL interpreters for medical, legal, educational, and public-facing assignments.

 

  • Communication Access Realtime Translation (CART): Real-time captioning services for individuals who are deaf or hard of hearing, provided in-person or remotely.

 

  • Government Contract Services: Language access and interpreting services provided under federal, state, or local government contracts, subject to applicable contract terms and regulations.

 

All services are provided by qualified professional interpreters and translators. Translation Excellence, Inc. makes reasonable efforts to match qualified linguists to each assignment based on subject matter, language pair, and client requirements. Final interpreter or translator assignment is at the discretion of Translation Excellence, Inc.

SERVICE REQUESTS AND SCHEDULING
2.1
Requesting Services

Service requests may be submitted through our website contact form, by email, by phone, or through a client portal if applicable. Submission of a service request does not constitute a confirmed booking. A request is

Required Information
To process your request, you must provide accurate information including the service type, language pair(s), date, time, and duration of service, location or platform for remote services, subject matter or setting (e.g., medical, legal), and any special requirements or accommodations.
2.3
Advance Notice
Translation Excellence, Inc. requests that service bookings be made with as much advance notice as possible. We will make reasonable efforts to fulfill urgent or same-day requests, but cannot guarantee availability for requests with less than 24 hours’ notice.
2.4
Service Agreements
For ongoing, recurring, or large-scale engagements, Translation Excellence, Inc. may require execution of a separate Master Service Agreement (MSA) or Statement of Work (SOW). In the event of any conflict between these Terms and a separately executed service agreement, the service agreement shall control.
CLIENT RESPONSIBILITIES

As a client of Translation Excellence, Inc., you agree to:

   (a) Provide accurate and complete information when requesting services and promptly notify us of any changes.

   (b) Treat all Translation Excellence interpreters and translators with professional respect and courtesy. Translation Excellence reserves the right to withdraw its personnel from any assignment where interpreter safety or professional dignity is at risk.

   (c) Not request that interpreters or translators perform tasks outside the scope of professional language services, including offering personal advice, acting as patient advocates, or performing administrative tasks unrelated to the interpreting or translation assignment.

   (d) Maintain the confidentiality of any credentials, login information, or account access provided to you by Translation Excellence, Inc.

   (e) Comply with all applicable laws and regulations in your use of our services, including but not limited to HIPAA, ADA, Title VI, and applicable state and local language access laws.

   (f) For healthcare clients, ensure that a valid Business Associate Agreement (BAA) is executed prior to commencement of any services that may involve access to Protected Health Information (PHI).

FEES, INVOICING, AND PAYMENT

4.1

Rates and Quotes

Service rates are provided upon request or as set forth in a signed service agreement or government contract. Rates may vary based on language, service type, duration, location, subject matter, and scheduling lead time. Translation Excellence, Inc. reserves the right to adjust rates with reasonable advance notice.
4.2

Minimum Billing

On-site interpreting services are subject to a minimum billing period as specified in the applicable rate schedule or service agreement. Clients will be billed for the minimum period even if the appointment concludes earlier than scheduled.
4.3

Invoicing

Invoices are issued following service delivery unless otherwise agreed. Payment terms are net 30 days from the invoice date unless an alternative payment schedule has been established in a written agreement.
4.4

Late Payments

Invoices not paid within the agreed payment terms may be subject to a late payment fee of 1.5% per month (18% per annum) on the outstanding balance, or the maximum rate permitted by applicable law, whichever is less. Translation Excellence, Inc. reserves the right to suspend services for accounts with outstanding overdue balances.

Disputed Invoices

If you believe an invoice contains an error, you must notify Translation Excellence, Inc. in writing within 10 business days of the invoice date. Undisputed portions of an invoice remain due and payable by the original due date.

CANCELLATION AND NO-SHOW POLICY

5.1
Cancellation by Client

Cancellations must be submitted in writing (including email) to Translation Excellence, Inc. Cancellation fees may apply as follows, unless otherwise specified in a signed service agreement:

  • More than 48 hours before scheduled start: No charge.
  • 24–48 hours before scheduled start: 50% of the estimated service fee.
  • Less than 24 hours before scheduled start: 100% of the estimated service fee (minimum billing applies).

 

For urgent or specialized assignments (e.g., rare language pairs, certified court interpreters), a longer cancellation notice period may apply as specified at the time of booking.

5.2
No-Shows

If Translation Excellence provides a qualified interpreter or translator who is unable to complete the assignment because the client, patient, or requesting party fails to appear, the full minimum billing rate will be charged.

5.3
Cancellation by Translation Excellence
In the event that Translation Excellence, Inc. must cancel or reschedule a confirmed assignment due to unforeseen circumstances (including but not limited to interpreter illness or emergency), we will make reasonable efforts to provide a qualified replacement or offer a full refund of any prepaid fees. Translation Excellence, Inc. shall not be liable for any consequential damages arising from a necessary cancellation.

CONFIDENTIALITY

6.1
Professional Confidentiality
All Translation Excellence interpreters and translators are bound by professional confidentiality obligations. Information disclosed during an interpreting or translation engagement is treated as confidential and will not be disclosed to unauthorized third parties.
6.2
Confidentiality Agreements

Clients may request that interpreters assigned to their accounts execute a separate confidentiality or non-disclosure agreement. Such agreements must be submitted to Translation Excellence, Inc. in advance and are subject to review and approval.

6.3
Services provided in healthcare settings are subject to our HIPAA Privacy & Confidentiality Policy, which is incorporated herein by reference. Clients requiring HIPAA-compliant services must execute a Business Associate Agreement (BAA) with Translation Excellence, Inc. prior to service commencement.

6.4
Legal Proceedings
Nothing in these Terms shall prevent Translation Excellence, Inc. from disclosing information as required by valid legal process, court order, or applicable law.

INTELLECTUAL PROPERTY AND WORK PRODUCT

7.1
Ownership of Work Product
Unless otherwise agreed in a separate written agreement, Translation Excellence, Inc. retains ownership of all translated documents, interpreted recordings (if any), and other deliverables created in the course of service delivery (“Work Product”) until full payment has been received. Upon receipt of full payment, ownership of the Work Product transfers to the Client.
7.2
Use of Client Materials
By submitting documents, audio, or other materials to Translation Excellence, Inc. for translation or other language services, you grant Translation Excellence a limited, non-exclusive license to use such materials solely for the purpose of providing the requested services. We will not reproduce, distribute, or use your materials for any other purpose without your written consent.
7.3
Translation Excellence Trademarks
The Translation Excellence, Inc. name, logo, and related marks are trademarks of Translation Excellence, Inc. Nothing in these Terms grants you the right to use our trademarks, trade names, logos, or other brand features.

DISCLAIMERS

8.1
No Legal or Medical Advice
Interpreting and translation services provided by Translation Excellence, Inc. are language access services only. Neither Translation Excellence nor its interpreters or translators provide legal, medical, financial, or any other form of professional advice. Clients are solely responsible for decisions made based on interpreted or translated communications.
8.2
Accuracy
Translation Excellence, Inc. makes reasonable efforts to provide accurate and qualified language services. However, no interpretation or translation service is guaranteed to be error-free. Translation Excellence is not responsible for any misunderstanding, decision, or outcome arising from a good-faith interpretation or translation.
8.3
Website Disclaimer

The information on our website is provided for general informational purposes only. It is not intended as legal, medical, or professional advice and should not be relied upon as such.

8.4
Service Availability
Translation Excellence, Inc. does not guarantee availability of specific interpreters, language pairs, or service formats. We make reasonable efforts to fulfill all confirmed bookings but cannot be held liable for unavailability due to circumstances beyond our control.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRANSLATION EXCELLENCE, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, INTERPRETERS, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES OR WEBSITE.

IN NO EVENT SHALL TRANSLATION EXCELLENCE, INC.’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNT PAID BY YOU TO TRANSLATION EXCELLENCE, INC. IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply regardless of the form of action, whether based on contract, tort, negligence, strict liability, or otherwise, even if Translation Excellence, Inc. has been advised of the possibility of such damages.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Translation Excellence, Inc. and its officers, directors, employees, agents, interpreters, and contractors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to:

  • our violation of these Terms;
  • Your use of our services in a manner not authorized by these Terms;
  • Your violation of any law or the rights of a third party; or
  • Any content or materials you provide to Translation Excellence, Inc.
     

GOVERNING LAW AND DISPUTE RESOLUTION

11.1
Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.

11.2
Jurisdiction and Venue
Any legal action or proceeding arising out of or relating to these Terms or the services provided by Translation Excellence, Inc. shall be brought exclusively in the state or federal courts located in Arapahoe County, Colorado, and you hereby consent to the personal jurisdiction and venue of such courts.
11.3
Informal Resolution
Before initiating any formal legal proceeding, both parties agree to make a good-faith effort to resolve any dispute informally by contacting Translation Excellence, Inc. at info@translationexcellence.com. We will attempt to resolve the dispute within 30 days of receiving written notice.
11.4
Waiver of Class Action
To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

MODIFICATIONS TO THESE TERMS

Translation Excellence, Inc. reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the “Last Reviewed” date at the top of this document and, where appropriate, by notifying clients via email or through our website. Your continued use of our services after the effective date of any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

GENERAL PROVISIONS

13.1
Entire Agreement
These Terms, together with any applicable service agreement, MSA, SOW, BAA, or government contract, constitute the entire agreement between you and Translation Excellence, Inc. with respect to the subject matter herein and supersede all prior or contemporaneous understandings or agreements.
13.2
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
13.3
Waiver
The failure of Translation Excellence, Inc. to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.
13.4
Assignment
You may not assign or transfer any rights or obligations under these Terms without the prior written consent of Translation Excellence, Inc. Translation Excellence, Inc. may assign these Terms without restriction.
13.5
Force Majeure
Translation Excellence, Inc. shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, labor disputes, government actions, or internet or telecommunications failures.
